SERVICE

These Terms govern your access to and usage of all content, products, and services available at https://kirinwebstudio.com (the “Service”) operated by Kirin Web Studio (“us”, “we”, or “our”).

Your access to our services is subject to your acceptance, without modification, of all of the terms and conditions contained herein, as well as any other operating rules and policies published by us. These terms may be updated from time to time, and continued use of our services constitutes acceptance of any changes.

Please read this Agreement carefully before accessing or using our services. By accessing or using any part of our services, you agree to be bound by these Terms. If you do not agree to any part of the Agreement, you may not access or use our services.

Scope of Services

Kirin Web Studio provides professional website design and development services, including but not limited to:

• Custom website design and development – We create tailored website solutions that align with your brand identity and business goals. Our designs are user-friendly, mobile-responsive, and optimized for performance.
• E-commerce solutions – We develop online stores using platforms like Shopify and WooCommerce, integrating essential features such as product listings, secure payment gateways, and inventory management.
• Website maintenance and updates – We offer ongoing maintenance plans to keep your website secure, up to date, and functioning optimally. This includes software updates, security patches, and bug fixes.
• UX/UI design – Our user experience (UX) and user interface (UI) design services focus on enhancing customer engagement through intuitive navigation, clear layouts, and seamless interactions.
• CMS customization (WordPress, Shopify, etc.) – We specialize in customizing content management systems to provide tailored solutions that fit your unique business needs.

Additional services may be agreed upon in writing to accommodate specific project requirements.

Payments & Refund Policy

• A 50% deposit is required before project commencement. This ensures commitment to the project and allows us to allocate resources effectively.
• The remaining balance is due upon project completion before migration to the client’s domain. Payment must be settled in full before the final handover of files and credentials.
• No refunds will be issued once work has started. Once development has begun, time and effort have already been invested, making refunds unfeasible. However, we are committed to resolving any reasonable concerns to ensure client satisfaction.

Intellectual Property Rights

• The final website design, once fully paid for, is owned by the client. This includes the structure, graphics, and any custom-coded elements unless otherwise agreed.
• Any custom code, plugins, or third-party assets remain the intellectual property of Kirin Web Studio unless otherwise stated. Some elements may be licensed or require continued usage rights.
• The client is responsible for ensuring they have the rights to any content provided. This includes text, images, videos, and other media used on the website to avoid legal issues related to copyright infringement.

Indemnity

By using the services of Kirin Web Studio, the Client agrees to indemnify, defend, and hold harmless the Designer, its employees, affiliates, and agents from any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from:

• The User’s use or misuse of the website designed by the Designer.

• Any copyright, trademark, or intellectual property infringement resulting from content, images, or materials provided by the User.

• Any modifications, updates, or changes made to the website after completion by the User or a third party.

• Security breaches, hacking, data loss, or website malfunctions occurring after the project handover, unless caused by the Designer’s direct negligence.

• Any business losses, revenue loss, or downtime related to website hosting, third-party plugins, or external service providers.

This indemnity remains in effect indefinitely and applies to all services provided by the Designer.

Limitation of Liability

Kirin Web Studio is not liable for:

• Any indirect, incidental, or consequential damages resulting from website use – We design and develop websites to high standards, but we are not responsible for unforeseen technical issues or financial losses that may arise from website downtime or malfunctions.

• Loss of revenue, data, or functionality due to third-party services – Many websites rely on third-party integrations such as payment gateways, plugins, or cloud storage. We are not responsible for disruptions or failures caused by these external services.

• Issues caused by hosting providers, software updates, or hacking – Hosting performance, server reliability, and cybersecurity threats are outside our direct control. We recommend clients choose reputable hosting providers and maintain security best practices.

Revisions & Maintenance

• Free revisions are available during the development phase within the agreed scope. Clients can request design changes and refinements before final approval, provided they align with the project agreement.

• Additional revisions or maintenance services will be charged separately. Any requests for modifications beyond the agreed scope will be considered additional work and may incur extra charges. Regular maintenance plans are available for continued website support and updates.

Termination & Cancellation

• Client-Initiated Termination: Clients may request to terminate the project at any stage by providing written notice. If termination occurs after work has commenced, the client forfeits the 50% down payment, which is non-refundable. If the client cancels the service midway through the project, they are not required to pay the remaining balance, but any work completed up to that point remains the property of Kirin Web Studio until full payment is made.
• Kirin Web Studio-Initiated Termination: We reserve the right to terminate a project under circumstances such as non-payment, failure to provide necessary materials, or violation of these Terms of Service. In such cases, we may withhold work completed until outstanding payments are settled.
• Effect of Termination: Upon termination, all work completed up to that point will be provided to the client only if payments are fully settled. Any remaining obligations, such as domain transfers or hosting terminations, must be handled by the client unless otherwise agreed upon.
• No Refund Policy: All down payments and paid consultations are non-refundable. If work is terminated mid-project, the client is not required to pay the final balance, but the down payment remains non-refundable as compensation for time and resources spent.

Disclaimer

The information, services, and products provided by Kirin Web Studio are offered on an “as-is” and “as-available” basis without any warranties, express or implied. We make no guarantees regarding the accuracy, completeness, reliability, or suitability of our services for any specific purpose.

While we strive to deliver high-quality website design and development services, we are not responsible for:

• Any technical issues, website downtime, or third-party service failures that may affect website performance.

• Financial or business losses resulting from website use, modifications, or disruptions.

• Security breaches, cyberattacks, or hacking incidents beyond our control.

• Legal issues arising from content provided by the client, including copyright infringement, trademark violations, or unauthorized use of third-party materials.

Clients are responsible for ensuring compliance with legal and regulatory requirements applicable to their website and business operations. Kirin Web Studio shall not be held liable for any claims, damages, or losses incurred as a result of using our services.
